Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Morning Star AI Group ("we," "us," "our," the "Company") governing your access to and use of our website, and our software products, currently including Cadence and Bearing (collectively, the "Services"). By creating an account, subscribing to a Service, or otherwise using the Services, you agree to these Terms.
1. Who This Applies To
The Services are intended for use by businesses and professionals — including real estate advisors, brokerages, general contractors, remodelers, and related firms — and their authorized personnel. You must be at least 18 years old and have the authority to bind the business you represent to use the Services.
2. Accounts
To use most features of the Services, you'll need an account provisioned by your organization's administrator. You're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@morningstaraigroup.com if you suspect unauthorized use of your account.
3. Subscriptions & Billing
Cadence and Bearing are offered on a subscription basis. Pricing, billing frequency, and plan details are provided at the time of purchase or in your subscription agreement. 4. Your Data & Your Clients' Data
When you use Cadence or Bearing, you and your team will input data about your own clients, listings, jobsites, and related business activity ("Customer Data"). As between you and us, you retain all ownership rights in your Customer Data. We act as a processor of that data on your behalf, and we use it only to provide, maintain, and improve the Services for you — not to sell it, and not to share it with other customers.
You are responsible for ensuring you have the necessary rights and permissions to input your clients' personal information into the Services, and for complying with applicable privacy laws in how you collect and use that information.
5. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Services or its underlying systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law; or (e) use the Services to store or transmit content that is unlawful, infringing, or that violates the rights of any third party.
6. AI-Generated Content
Cadence and Bearing include features that use AI to summarize notes, draft communications, and surface insights. AI-generated content is provided as a starting point and productivity aid — it may contain errors or omissions, and you are responsible for reviewing any AI-generated content before relying on it or sending it to a client, homeowner, or other third party.
7. Intellectual Property
The Services, including all software, design, and content we provide (excluding your Customer Data), are owned by Morning Star AI Group and protected by intellectual property laws. Subscribing to a Service grants you a limited, non-exclusive, non-transferable right to use it for your internal business purposes — it does not transfer ownership of the underlying software to you.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
9. Limitation of Liability
To the maximum extent permitted by law, Morning Star AI Group and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim arising from the Services will not exceed the amount you paid us in the three (3) months preceding the claim.
10. Termination
You may cancel your subscription at any time in accordance with your subscription agreement. We may suspend or terminate your access to the Services if you materially breach these Terms and fail to cure that breach within a reasonable period after notice.
11. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Washington State.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll provide reasonable notice, such as by email or an in-app notification. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
